Free Website Terms and Conditions

These Terms and Conditions govern the provision of a free website and related hosting services by T-SHOMEDIA (“Provider”) to you (“Client”). By using our services, you agree to be bound by these terms.

  1. Free Website Offer

1.1. Provider will design and develop a basic website for the Client at no initial cost. This basic website will include: * Custom design * Mobile-responsive layout * Homepage, About Us Section, Services section/Page, and Contact Us Section * Basic SEO setup

1.2. The Client acknowledges that the website remains the property of the Provider until the completion of the minimum hosting term and full payment of any applicable fees.

  1. Hosting Agreement

2.1. In consideration for the free website, the Client agrees to host the website with the Provider for a minimum term of 36 months.

2.2. The Client agrees to pay the Provider’s standard hosting fees, as outlined at https://t-shomedia.com/web-hosting. Payment will be due according to the terms specified on that page.

2.3. The Provider guarantees reasonable website uptime and will provide technical support to the Client during the term of this agreement, subject to the limitations of our standard support services.

2.4. Either party may terminate the hosting agreement with 30 days’ written notice. * If the Client terminates the hosting agreement before the end of the 36-month minimum term, the Client will be responsible for paying the remaining hosting fees for the entire term, as well as a £400 fee for the website development. * The Provider reserves the right to terminate hosting services if the Client breaches these terms.

  1. Website Design and Revisions

3.1. The Provider will provide the Client with one initial design concept for the website.

3.2. The Client is entitled to two rounds of revisions to provide feedback and request changes to the chosen design.

3.3. Any additional revisions beyond the two included rounds will be billed at the Provider’s standard hourly rate of £120. The Client will be notified and must agree to these charges in advance.

3.4. Significant changes to the website’s scope or functionality requested by the Client after the initial design phase may be subject to additional charges. The Provider will provide a quotation for such changes.

  1. Client Responsibilities

4.1. The Client agrees to provide all necessary content for the website, including text, and logos, promptly and in the requested formats.

4.2. The Client is solely responsible for ensuring the accuracy, legality, and ownership of all content provided for the website.

4.3. The Client agrees to review and approve website designs and revisions within a reasonable timeframe as communicated by the Provider. Delays in approval may impact the project timeline.

  1. Intellectual Property

5.1. Upon the completion of the 36-month hosting term and full payment of all hosting fees and any additional charges, the Provider grants the Client full ownership of the final website design and its content (excluding any third-party software or stock assets licensed separately).

5.2. The Provider retains the right to showcase the completed website in its portfolio for promotional purposes.

  1. Term and Termination

6.1. These Terms and Conditions shall commence on the date the Client agrees to them and shall continue until the hosting agreement is terminated in accordance with Section 2.4.

6.2. The Provider may terminate these Terms and Conditions and the provision of services if the Client fails to pay hosting fees on time or breaches any other material term of these conditions.

  1. Disclaimer of Warranty

7.1. The website is provided “as is” without any warranties, express or implied, regarding its functionality, performance, or suitability for a particular purpose. The Provider does not warrant that the website will be error-free or uninterrupted.

  1. Limitation of Liability

8.1. To the maximum extent permitted by law, the Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, loss of profits, data, use, goodwill, or other economic advantage) arising out of or in connection with these Terms and Conditions or the provision of services, even if the Provider has been advised of the possibility of such damages. The Provider’s total liability to the Client for any claim arising out of or relating to these Terms and Conditions shall not exceed the total hosting fees paid by the Client to the Provider in the twelve (12) months preceding the event giving rise to the claim.

  1. Governing Law

9.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.

  1. Entire Agreement

10.1. These Terms and Conditions constitute the entire agreement between the Client and the Provider and supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter hereof.
